These Terms of Service ("Terms") govern your access to and use of MitsoLab ("MitsoLab", "we", "us", or "our"), including our website, software, APIs, dashboards, widgets, integrations, and related services (collectively, the "Service").

By accessing or using the Service, creating an account, purchasing a subscription, or clicking "accept," you agree to be bound by these Terms. If you do not agree, do not use the Service.

If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

1. Description of the Service

MitsoLab is a software-as-a-service (SaaS) platform that enables users to build, configure, deploy, and manage AI-powered agents capable of responding to messages, retrieving data, triggering workflows, and performing automated actions through integrations with third-party systems.

• Automation and action execution
• Integrations with third-party platforms
• APIs and developer tools
• Analytics and reporting
• Messaging and deployment channels

AI-generated outputs are automated, probabilistic, and may be inaccurate, incomplete, outdated, or inappropriate.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service.

By using MitsoLab, you represent and warrant that:

• You meet all eligibility requirements
• Your use complies with applicable laws
• You are not prohibited from using the Service under applicable law

3. Accounts and Access

3.1 Account Responsibility

You are responsible for:

• Maintaining the confidentiality of your credentials
• All activity occurring under your account
• Ensuring your users comply with these Terms

3.2 Unauthorized Access

You must notify us immediately of any unauthorized access or suspected security breach. We are not responsible for losses caused by compromised credentials unless due to our gross negligence.

3.3 Account Suspension

We may suspend or restrict access at any time if we reasonably believe:

• These Terms are violated
• The Service is misused
• Required by law or platform policy
• Your use poses risk to MitsoLab or others

4. Subscriptions, Billing, and Payments

4.1 Subscription Plans

The Service is offered under paid and free subscription plans with defined features, usage limits, and restrictions.

4.2 Billing

• Subscriptions are billed in advance, monthly or annually
• Fees are non-cancellable
• All fees are non-refundable, except where required by law or explicitly stated in writing
• Failure to pay may result in suspension or termination

4.3 No Refund Policy

All fees are final and non-refundable. This includes unused usage, message quotas, partial billing periods, downgrades, dissatisfaction with AI responses, or failure to use the Service.

4.4 Usage Limits

Each plan includes usage caps (e.g., messages, actions, integrations). Exceeding limits may result in throttling, overage charges, or service interruption.

4.5 Pricing Changes

We may modify pricing at any time. Changes apply at the next renewal. You may cancel if you do not agree.

4.6 Taxes

Fees exclude all taxes. You are responsible for applicable taxes, duties, or levies, except taxes based on our income.

5. AI-Generated Content Disclaimer

You acknowledge and agree that:

• AI outputs may be incorrect, misleading, or harmful
• MitsoLab does not guarantee accuracy or reliability
• AI responses do not constitute legal, medical, financial, or professional advice
• You are solely responsible for verifying outputs before relying on them

MitsoLab is not liable for decisions, actions, or losses based on AI-generated content.

6. Automation & Action Execution Disclaimer

The Service may trigger actions such as:

• Subscription changes
• Data updates
• Ticket creation
• CRM modifications
• External API calls

You acknowledge that:

• Automated actions may have unintended consequences
• You are responsible for reviewing, testing, and approving automations
• You deploy automations at your own risk

MitsoLab is not responsible for damages resulting from automated actions triggered by user configurations.

7. Acceptable Use Policy

You agree not to use the Service to:

• Violate laws or regulations
• Harass, abuse, threaten, or harm others
• Generate spam, scams, or fraudulent content
• Process personal data unlawfully
• Bypass safeguards, limits, or restrictions
• Reverse engineer or scrape the Service
• Build competing products
• Jailbreak or manipulate AI behavior
• Request or expose credentials, API keys, or sensitive access

We may suspend or terminate accounts violating this policy.

8. Third-Party Services and Integrations

The Service may integrate with third-party platforms ("Third-Party Services").

You acknowledge that:

• Third-Party Services are governed by their own terms
• We do not control or endorse them
• We are not responsible for their availability or behavior
• You authorize access only to data you explicitly connect

Use of Third-Party Services is at your own risk.

9. Data Ownership and Privacy

9.1 Your Data

You retain ownership of all data you submit ("User Content").

You grant MitsoLab a limited, non-exclusive license to process User Content solely to provide the Service.

9.2 Data Processing

We process data in accordance with our Privacy Policy and applicable data protection laws.

9.3 Service Data

We may collect aggregated, anonymized service metrics. We own all Service Data and will not identify you as its source.

10. Confidentiality

Each party agrees to protect the other’s confidential information and use it only to perform obligations under these Terms.

Confidential information does not include information that is public, independently developed, or lawfully obtained from third parties.

11. Intellectual Property

MitsoLab owns all rights to:

• The Service
• Software, APIs, UI, designs
• Documentation and materials

No rights are granted except as expressly stated. You may not copy, modify, distribute, or reverse engineer the Service.

12. Suspension and Termination

We may suspend or terminate access immediately if:

• These Terms are violated
• Payment fails
• Required by law
• Use poses risk to MitsoLab or others

Upon termination:

• Access may be revoked
• Data may be deleted after a reasonable retention period
• We are not obligated to retain data

13. Service Availability

We do not guarantee uninterrupted availability.

Downtime may occur due to:

• Maintenance
• Upgrades
• Third-party outages
• Force majeure events

We are not liable for downtime or data loss beyond reasonable control.

14. Limitation of Liability

To the maximum extent permitted by law:

• MitsoLab is not liable for indirect, incidental, consequential, or punitive damages
• We are not liable for lost profits, data loss, or business interruption
• Total liability shall not exceed the amount paid by you in the preceding 12 months

15. Indemnification

You agree to indemnify and hold harmless MitsoLab from claims arising from:

• Your use of the Service
• Your AI agents’ behavior
• Violations of these Terms
• Violations of law

16. Force Majeure

We are not liable for failure or delay caused by events beyond our reasonable control, including natural disasters, outages, war, terrorism, labor disputes, or government actions.

17. Modifications

We may modify these Terms at any time. Continued use after changes constitutes acceptance.

18. Governing Law and Jurisdiction

These Terms are governed by the laws of the Hashemite Kingdom of Jordan, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts of Amman, Jordan.

19. Severability

If any provision is found unenforceable, the remaining provisions remain in full force.

20. Entire Agreement

These Terms constitute the entire agreement between you and MitsoLab and supersede all prior agreements or understandings.
